Every Seller is different and some sellers may require more or less paperwork to complete a bulk portfolio deal, however this page can give you a general idea of what to expect. Typical Transaction Procedures: 1. Register with GPS using our Investor Profile Sheet 2. Consult with a GPS REO/Note Negotiator to review your needs. 3. Complete the additional GPS and/or Seller Paperwork (which may include some or all of the following): • “Confidentiality Agreement • “Non-Circumvent Agreement” • “Fee Agreement” • “Proof of Funds Authorization” • “Order Preferences” 4. Seller's attorney or escrow agent will then verify “Proof of Funds” (hard proof) 5. GPS will work with the seller to match your preferences to seller's available assets. 6. GPS will provide asset tapes from seller for your review - letting you know if these are "exclusive" tapes solely for you or if they are available to other "shoppers." 7. You will then review list during the "exclusivity period" (if any) and make a decision on the offering. 8. If you want to move forward, you will create a “Letter of Intent” and make an “Indicative Bid” 9. If the seller accepts your bid, then you will wire a “Holding Deposit” to escrow (amount required depends on the seller) 10. Meanwhile, you'll proceed forward with your "Due Diligence” review of the assets in the pool. • Typically you'll have 7-14 days to review the quality of the assets (depending on size of pool) to confirm that the assets in the pool are what you desire. If there is any question or concern, this is the time to discuss such matters, renegotiate with the seller, and/or withdraw your bid and Letter of Interest (while also requesting a release of your deposit from escrow) 11. If you complete your Due Diligence without concern and want to proceed forward, then you will elect to make a "Bid Commitment" for a final price. • At this point, your deposit "goes hard" and may be non-refundable (depending on the sellers terms) • In addition, you must escrow the balance of funds (usually within 72 hours). 12. You close directly with the seller via the escrow agent. Frequently Asked Question: "Why should I use an Escrow Agent?" Escrow agents provide an important firewall between Banks, Investors and Brokers during the various stages of a bulk Note or REO transaction. Typically they can facilitate collection of the various documentation and often perform certified chain of title checks -- providing a third party confirmation that everything is exactly as presented. The obvious benefit of this last function is that a discovery of a problem in title will usually eliminate a transaction that should have never began in the first place - thus saving all parties time and money!
